+ Regarding shares issued to existing shareholders, the number of shares a shareholder is entitled to purchase shall be rounded down to the nearest whole number; any fractional shares (if any) shall be aggregated and handled in accordance with the plan for dealing with fractional shares resulting from rounding, as described below;
Example: As of the record date, shareholder Nguyen Van A holds 125 shares. The number of shares shareholder Nguyen Van A is entitled to purchase is 125/2 × 1 = 62.5 shares. After rounding down to the nearest whole number, the number of shares shareholder Nguyen Van A may register to purchase is 62, while the 0.5 fractional share shall be aggregated and handled in accordance with the plan for dealing with fractional shares resulting from rounding, as described below.
+ Fractional shares resulting from rounding and any shares remaining because shareholders did not fully exercise their subscription rights shall be distributed—as authorized by the General Meeting —by the Board of Directors to other parties (including Bank shareholders wishing to increase their shareholding), provided that the selling price is not lower than the offering price for existing shareholders and all legal regulations should be strictly complied with;
+ In the event that the share distribution period expires as regulated (including any extensions, if applicable) and shares remain undistributed, such undistributed shares shall be cancelled, and the Board of Directors shall issue a decision to conclude the offering;
+ Transfer restrictions: shares issued to existing shareholders shall not be subject to transfer restrictions. Fractional shares and unsubscribed shares offered to other investors shall be subject to transfer restrictions for a period of one year from the date the offering concludes, in accordance with Clause 2, Article 42 of Decree 155/2020/ND-CP dated December 31, 2020.
