- Principle of rounding, handling fractional shares and unsubscribed shares:
+ Principle of handling fractional shares: due to execution rate of 1:1, there is no fractional share
+ The remaining shares due to unsubscription, non-payment (if any) will be decided by the Board of Directors (BOD) to distribute to other investors in accordance with Article 42 Decree no.155/2020/NĐ-CP with price not lower than that offered to existing shareholders (to ensure conditions of offering, rights and obligations not more favorable than that offered to existing shareholders) and/or cancellation.
+ Handling shares that investors do not subscribe, make payment must ensure compliance of Article 42 Decree no.155/2020/NĐ-CP dated 31/12/2020 and regulations on capital contribution of parent company, subsidiaries in accordance with Clause 2, article 195, Enterprise Law
+ The shares distributed are subject to transfer restriction within 1 year from the date of offering completion (Clause 2, Article 42, Decree no.155/2020/NĐ-CP dated 31/12/2020)
+ To ensure foreign ownership rate at the Company as stipulated by prevailing laws (pursuant to point đ, clause 1, article 139 Decree no.155, the maximum foreign ownership at the Company is 0%), the Company commits that share offering does not increase foreigh ownership at the Company in accordance with Clause 5 article 139 of Decree no.155/2020/NĐ-CP, specifically:
  Transfer of right issue of existing shareholders whose names are on the list on the record date can only be transferred to domestic investors, not to foreign investors and economic organizations with foreign investors owning more than 50% of charter capital.
Shares that shareholders do not subscribe and/or do not make payment are only redistributed to domestic investors, not to foreign investors and economic organizations with foreign investors owning more than 50% of charter capital.

Example: on record date, shareholder Nguyen Van A who owns 686 shares is entitled to buy 686 shares (686*1/1 = 686)
- Regulations on rights transfer:
+ Time period for right transfer: from 05/10/2023 to 24/10/2023.
+ Right is transferred once only, transferee is not allowed to transfer to the 3rd party.
- Regulations on subscribed shares:
+ Time period for subscription and payment: from 05/10/2023 to 26/10/2023.
+ Subscribed shares are freely transferrable
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at:

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10:30 pm, 28th September 2023.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
