(Effective date of code allocation: 27/05/2024; effective date of code cancellation: 20/06/2024.)        
- Planned quantity of issued shares: 68,425,600 shares
- Issue price: 10,000 VND/share
- Execution rate: 1:0.476767 (1 share equals to 1 right and shareholders are entitled to buy 476,767 new shares for every 1,000,000 rights)
- Principle of rounding, handling fractional shares and unsubscribed shares (if any):
+ The number of shares offered to existing shareholders will be rounded down to the whole number. All fractional shares due to rounding down to the whole number and unoffered shares (if any) will be authorized to the Board of Directors (BOD) to sell to other parties as stipulated by prevailing laws with price not lower than that offered to existing shareholders. The criteria and the list of shareholders entitled to buy these remaining shares are decided by the BOD. Within 5 working days from the day of offering without distributing all shares, the BOD cancels all remaining shares.
+ In case of expiry of distributing shares as prescribed by prevailing laws (including the extension period if any) and shares are not fully distributed, those shares will be removed and the BOD decides to end the offering.

For example: On the record date, shareholder A who owns 567 shares will be entitled to buy (1,115 x 1)/2 = 557.5 shares. According to above principle, shareholder A is entitled to buy (567:1) x 0.476767 = 270.32 shares. According to the above principle, he is entitled to buy 270 shares.
- Regulations on rights transfer:
+ Time period for right transfer: from 27/05/2024 to 11/06/2024
+ Right is transferred once only and transferee is not allowed to transfer to the 3rd party.
- Regulations on subscription:
+ Time period for subscription and payment: from 27/05/2024 to 17/06/2024
+ Restrictions related to transfer:
The number of shares offered to existing shareholders and transfered from existing shareholders are not subject to transfer restriction
The remaining shares undistributed to existing shareholders offered to other shareholders/investors are subject to transfer restriction within 1 year from the date of offering completion as stipulated by prevailing laws.
- Payment place:
+ The holders whose shares have been deposited will make right transfer, subscription and payment at at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at BAF Viet Nam Agriculture Joint Stock Company, Level 9, Vista Tower building, 628C Vo Nguyen Giap road, An Phu ward, Thu Duc city, Hochiminh city. ID cards have to be presented.

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10h30, 22/05/2024
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
