- Principle of rounding, handling fractional shares and unsubscribed shares (if any):
+ Principle of rounding: the number of shares additionally issued will be rounded down to the whole number to ensure the number of distributed shares not exceeding the number of issued shares.
+ Principle of handling fractional shares, unsubscribed shares: the Board of Directors (BOD) offers the undistributed shares due to investors' unsubscription, not making payment, the fractional shares (if any) to other investors (company's shareholders and other parties) with price not lower than 15,000 VND/share, specific price will be decided by the BOD. Those distributed shares are subject to transfer restriction within 1 year from the date of offering completion. Handling the remaining shares must comply with provisions of Article 42, Decree no.155/2020/NĐ-CP dated 31/12/2020  by the Government and other provisions in Clause 2 Article 195 of Enterprise Law and other prevailing laws. In case of expiry of share distribution as prescribed by prevailing laws (including the extension period (if any)), if there are still undistributed shares, these shares will be canceled and the BOD decides to end the offering.

For example: On the record date, shareholder A who owns 100 shares will be entitled to buy 100*1/3=33.333 shares. According to above principle, shareholder A is entitled to buy 33 shares
- Regulations on rights transfer:
+ Time period for right transfer: from 24/07/2024 to 08/08/2024.
+ Shareholders with rights can transfer the rights to other parties with the price as agreed by the 2 parties. Right is transferred once only and is not allowed to transfer to the 3rd party.
- Regulations on subscription:
+ Time period for subscription and payment: from 24/07/2024 to 15/08/2024.
+ Subscribed shares are freely transferred
- Payment place:
+ The holders whose shares have been deposited will make right transfer, subscription and payment at at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at DABACO Group, no.35, Ly Thai To road, Vo Cuong ward, Bac Ninh city, Bac Ninh province

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10h30, 18/07/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
