- Principle of rounding, handling fractional shares and unsubscribed shares (if any):
+ Principle of rounding fractional shares: due to execution rate of 1:1, there is no  fractional share.
+ Principle of handling unsubscribed shares: handling shares arising from the fact that shareholders do not exercise the right, make payment must be in line with provisions of Article 42, Decree no.155/2020/NĐ-CP dated 31/12/2020 and regulations on capital contribution investment in parent companies and subsidiaries as prescribed in Clause 2, Article 195 of 2020 Enterprise Law.
+ The number of bonds that shareholders do not subscribe, make payment (if any) will be authorized to the Board of Directors (BOD) to offer to other parties (local investors) with criteria, distribution method, offering price (greater or equal to 13,000 VND/share) and those shares are subject to transfer restriction within 1 year from the date of offering completion. 
+ In case of expiry of share distribution as prescribed by prevailing laws (including the extension period (if any)), if there are still undistributed shares, these shares will be cancelled and the BOD decides to end the offering. The BOD considers, selects and adjusts the capital usage plan to ensure that it does not affect the Company's capital sources and business operations.

For example: On the record date, shareholder A who owns 333 shares will be entitled to buy (333 x 1):1 = 333 shares.

+ Time period for subscription and payment: from 23/08/2024 to 13/09/2024
+ Subscribed shares are freely transferred

+ The holders whose shares have been deposited will make right transfer, subscription and payment at at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Hung Hau Agricultural Corporation., 1004A Au Co, Phu Trung ward, Tan Phu district, Hochiminh. ID cards have to be presented.

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10h30, 19/08/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
