SBG: Payment of stock dividend; Share issuance due to raising share capital from owner’s equity and right issue

a. Payment of stock dividend
- Execution rate: 100:22 (shareholders are entitled to 1 right for each share they own and to receive 22 new shares for every 100 shares they own)
- Principle of handling fractional shares: The number of shares for dividend payment will be rounded down to the whole number, the fractional shares (if any) will be removed.
For example, on record date, shareholder A owns 115 shares,  he will be entitled to receive 115*22/100 = 25.3 shares. According to the rounding principle, shareholder A will receive 25 new shares and the 0.3 fractional shares will be removed.
- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.

b. Share issuance due to raising share capital from owner’s equity
- Execution rate: 100:32 (shareholders are entitled to 1 right for each share they own and to receive 32 new shares for every 100 shares they own)
- Principle of rounding and handling fractional shares: The number of shares issued will be rounded down to the unit, the decimal fractional shares (if any) will be removed.
- For example, on record date, shareholder A owns 115 shares,  he will be entitled to receive 115*32/100 = 36.8 shares. According to the rounding principle, shareholder A will receive 36 new shares and the 0.8 fractional shares will be removed.
- Payment place:
+ The holders whose shares have been deposited will receive shares at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive shares at Siba High-Tech Mechanical Group Joint Stock Company, Representative office: level 7, Vista Tower, 628C Vo Nguyen Giap road, An Phu ward, Thu Duc city, Hochiminh city

- Issue price: 10,000 VND/share
- Execution rate:  100:46 (46%). On the record date, shareholders are entitled to 1 right for each share that they own and to buy 46 new shares for every 100 shares in accordance with the principle of rounding down.
- Principle of rounding, handling the fractional shares and unsubscribed shares (if any):
+ In accordance with provisions of Article 42, Decree no.155/2020/NĐ-CP dated 31/12/2020.
+ Shares issued to existing shareholders will be rounded down to the whole number.
For example, on record date, shareholder A owns 115 shares,  he will be entitled to buy 115 x 46/100 = 52.9 shares. According to the rounding principle, shareholder A will be entitled to buy 52 new shares
+ For the number of undistributed shares arising from rounding, shares that investors did not register to buy, registered but refused to buy/did not pay to buy all the offered shares, the General Meeting authorizes the Board of Directors to select investors to continue offering shares at a price not lower than VND 10,000/share.
+ The remaining shares that have not been fully distributed to existing shareholders when offered for sale following the decision of the Board of Directors will be restricted from transfer for 1 year from the date of completion of the offering in accordance with regulations.
+ Within 5 working days from the date of continued offering without full distribution, the Board of Directors shall cancel the remaining shares.
+ The Company commits not to distribute shares to Subsidiaries, Subsidiaries within the same parent company must comply with Clause 2, Article 195 of 2020 Enterprise Law No. 59/2020/QH14: “Subsidiaries are not allowed to invest in buying shares or capital contributions in the parent company. Subsidiaries of the same parent company are not allowed to simultaneously contribute capital or buy shares to cross-own each other”.
+ In case a shareholder or investor (including a member of the Board of Directors) purchases shares to be distributed under this offering plan, resulting in the ownership of a total number of voting shares exceeding the ratio required for a public offering as prescribed by prevailing laws, that entity shall be responsible for carrying out the public offering procedures as prescribed by prevailing laws. The Company shall comply with the provisions of prevailing laws.
Regulations on rights transfer: 
+ Time period for right transfer: from 14/10/2024 to 01/11/2024
+ The number of shares issued to existing shareholders in this period are common shares with no transfer restriction from the date of distribution.
+ Existing shareholders whose names are on the list on the shareholder on the record date have the right to transfer their rights to others within the prescribed period and only transfer them once (not to a third party).

+ Time period for subscription and payment: from 14/10/2024 to 04/11/2024
+ Subscribed shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Siba High-Tech Mechanical Group Joint Stock Company on working days and make payment to blockade account for subscription

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 07/10/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs and direct account holding members by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
