- Principle of rounding, handling fractional shares and unsubscribed shares (if any):
+ The number of shares offered to existing shareholders will be rounded down to the whole number
+  The fractional shares arising during the exercise of rights and unsubscribed shares due to shareholders' refusal to buy a portion or the whole during the issuance will be distributed by the Board of Directors to other parties with the conditions of offering, conditions on rights and obligations of investors no more favorable than those offered to existing shareholders (including the offering price not lower than the selling price to existing shareholders), subject to transfer restriction within 1 year from the offering completion.
The handling of remaining shares must be in accordance with the provisions of Article 42 of Decree No. 155/2020/ND-CP dated 31/12/2020 and ensure other conditions as prescribed in Clause 2, Article 195 of the Law on Enterprises and other relevant provisions of prevailing laws.
In case the deadline for distributing shares expires according to the provisions of prevailing laws (including the extended period (if any)), if there are still undistributed shares, these shares will be canceled and the Board of Directors will decide to end the offering.
For example: On the record date for shareholders to exercise rights for existing shareholders, shareholder A who owns 155 shares is entitled to buy 155 x 0,5079 = 78.7245 shares. According to the above principle, shareholder A can buy 78 shares.

- Regulations on transfer restriction:
+ All shares issued to existing shareholders in accordance with execution rate are freely transferred
+ The number of fractional shares and the number of shares that existing shareholders are entitled to buy but refuse, offered to other parties are subject transfer restriction within 1 year from the date of offering completion in accordance with the provisions of Article 42 of Decree No. 155/2020/ND-CP dated 31/12/2020 by the Government
- Regulations on rights transfer:
+ Time period for right transfer: from 01/11/2024 to 18/11/2024.
+ Right is transferred once only. Transferee is not allowed to transfer to the 3rd party
- Regulations on subscription:
+ Time period for subscription and payment: from 01/11/2024 to 21/11/2024.
+ Subscribed shares are freely transferred. The fractional shares and remaining shares due to shareholders' refusal to buy (if any) are subject to transfer restriction within 1 year from the date of offering completion
- Payment place:
+ The holders whose shares have been deposited will make right transfer, subscription and payment at at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Nam Dinh Garment Joint Stock Company. ID cards, Certificate of share ownership have to be presented.

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10h30, 28/10/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
