DCR: 2025 Annual General Meeting

Viet Nam Securities Depository and Clearing Corporation (VSDC) would like to announce the record date as follows:

- Execution rate: 1:1 (1 share - 1 voting right)
- Planned meeting time: 25/04/2025 (to be announced in the invitation letters)
- Planned meeting venue: Cosevco Ceramic Tiles Joint Stock Company, road no.9, Hoa Khanh industrial zone, Hoa Khanh Bac ward, Lien Chieu district, Da Nang city
- Meeting agenda: 
+ Report by the Management Board on 2024 production and business situation; 2025 production and business plan;
+ Report by the Board of Directors (BOD), Supervisory Board (SB) on 2024 activities and 2025 plan;
+ 2024 audited financial statements;
+ Proposal on exemption from public offering;
+ Dismissal and election of additional members of the SB for 2024 – 2029 term;
+ Approval of 2024 profit allocation and earnings reserved for fund establishment, dividend payment
+ Approval of 2025 remuneration for the BOD, SB and the Secretary;
+ Approval of selecting an auditing company for 2025 financial statements
+ Other issues within the authority of the General meeting
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 27/03/2025.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs and direct account holding members by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
