NKG: 2025 Annual General Meeting

Viet Nam Securities Depository and Clearing Corporation (VSDC) - Hochiminh Branch would like to announce the record date as follows:

- Execution rate: 1:1 (1 share - 1 voting right)
- Meeting time: 25/04/2025 tentatively
- Meeting venue: Tan Son Nhat hotel, Topaz hall, no.202, Hoang Van Thu road, ward 9, Phu Nhuan district, Ho Chi Minh City
- Meeting agenda:
+ Approving the report by the Board of Directors (BOD) on 2024 activity results and 2025 orientations
+ Approving the report by the Managment Board on 2024 production & business and 2025 plan ;
+ Approving the report by the Supervisory Board (SB) on 2024 activities and 2025 plan
+ Proposal for approving 2024 audited financial statements;
+ Proposal for 2024 earnings reserved for fund  establishment and dividend payment
+ Proposal for 2025 profit and dividend payment plan
+ Proposal for authorizing the BOD to select an independent audit company for 2025 fiscal year;
+ Proposal for approving 2025 remuneration to the BOD and the SB, the Management Board
+ Proposal for nominating, standing for election and electing BOD, SB members for 2025-2030 term
+ Other important issues
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 24/03/2025
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
