PGB: Right issue

Viet Nam Securities Depository and Clearing Corporation (VSDC) would like to announce the record date as follows:

- Right code: MIRPGB251
- ISIN: VNMIRPGB2518 
(Effective date of code allocation: 24/03/2025; effective date of code cancellation: 17/04/2025)   
- Planned quantity of issued shares: 80,000,000 shares
- Issue price: 10,000 VND/share
- Execution rate: 21:4 (shareholders are entitled to 1 right for each share that they own and to buy 4 new shares for every 21 rights)
- Principle of rounding, handling the fractional shares and unsubscribed shares (if any):
+ The Board of Directors (BOD) decides the handling of shares that shareholders refuse to subscribe/excercise the right, including but not limited to offering to other investors as stipulated by prevailing laws, ensuring the maximum foreign ownership ratio applied at PGBank.
+ The number of shares issued according to the distribution ratio for each shareholder is calculated as an integer, the decimal part will not be rounded to 1 share. The fractional shares arising due to rounding down (if any) will be decided by the BOD to cancel or offer to other investors in accordance with applicable laws
- Principle of handling shares that existing shareholders do not subscribe/do not make payment/subscribe but do not make payment on time/undistributed shares:
+ The BOD is authorized to decide the offering of shares that existing shareholders do not subscribe, nor make payment, or subscribe but do not make payment on time, shares that are not distributed to other investors (including the existing shareholders) at the price not lower than that offered to existing shareholders and ensure compliance with related applicable laws, including but not limited to regulation on foreign ownership ratio at the Bank
+ The handling of remaining shares complies with Article 42 of Resolution 155/2020/ND-CP dated 31/12/2020 and other conditions as stipulated in clause 2 Article 195 of Enterprise Law and other relevant prevailing laws.
+ In case of issuance to other shareholders or other investors but still not distributing all the expected issued shares, the undistributed shares will be cancelled and the BOD will decide to end the issuance and increase the charter capital according to the actual number of shares issued.
For example: Shareholder A owns 1,051 shares on the record date, shareholder A is entitled to buy more: (1,051x4)/21=200.19 shares. Accordingly, shareholder A is entitled to buy  is 200 shares, the 0.19 shares will be decided by the BOD to cancel or offer to other investors in accordance with prevailing laws.
- Regulations on right transfer:
+ Time period for right transfer: from 24/03/2025 to 04/04/2025.
+ Right is transferred once (transferee is not allowed to transfer to the 3rd party)
- Regulations on subscription:
+ Time period for subscription and payment: from 24/03/2025 to 14/04/2025
+ Shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make  subscription procedures at the securities company where they opened trading account.
+ The holders whose shares have not been deposited will make subscription procedures at Prosperity and Growth Commercial Joint Stock Bank:
