FLC: Decision on being continued trading suspension, Decision on continued trading restriction and Notice on stock status

(1) Decision on being continued trading suspension
On May 23, 2025, HNX announces Decision No. 570/QD-SGDHN continued trading suspension of FLC Group JSC’s shares (stock code: FLC) as follows:
- Ground for trading suspension: The company has not yet announced its Audited Financial Statements for the years 2022, 2023, 2024 to the Hanoi Stock Exchange.;
- Reason(s): The Company has no measures to overcome the cause that led to the company's shares being placed in trading restriction according to the provisions of Point d, Clause 1, Article 46 of the Securities Law;
- Other reason(s): The company is compulsorily delisted due to serious violations of information disclosure obligations and other cases where the Stock Exchange or the State Securities Commission deems it necessary to delist to protect the interests of investors as prescribed in Point o, Clause 1, Article 120 of Decree No. 155/2020/ND-CP dated December 31, 2020 of the Government detailing the implementation of a number of articles of the Law on Securities.;
- Applicable law(s): Point d, e Clause 1 Article 35 of the Regulations attached to Decision No.23/QD-HDTV dated 18/04/2025 of the Vietnam Stock Exchange.
Within 15 days from the date the stock is under trading suspension, FLC Group JSC must send a document to the HNX to explain the cause and provide a remedy plan.
This Decision replaces Decision No. 79/QD-SGDHN dated 24/02/2023
(2) Decision on continued trading restriction
Following Decision No. 571/QD-SGDHN dated May 23, 2025, HNX announces the continued trading restriction of FLC stock of  FLC Group JSC as follows:
- Ground for continued trading restriction: Audited Financial Statements 2024;
- Reason: The Company is late in submitting the Audited semi-annual financial statements 2024 more than 45 days from the deadline for information disclosure as prescribed, The company did not hold an annual general meeting of shareholders in the last 02 fiscal years within the maximum period from the end of the fiscal year as prescribed in Clause 2, Article 139 of the Law on Enterprises;
- Trading restriction: only Friday weekly until being removed from trading suspension;
- Applicable law(s): Point b, h Section 1 Article 33 of the Regulations attached to Decision No. 23/QD-HDTV dated 18/04/2025 by the Vietnam Exchange.
Within 15 days from the date the stock is under trading restriction, FLC Group JSC shall send documents to the HNX for explanation and remedial measures.
This Decision replaces Decision No. 1136/GD-SGDHN dated 21/10/2024.
(3) Notice on stock status
On May 23, 2025, HNX announces the status of FLC Group JSC’s shares (stock code: FLC) as follows:
- FLC shares are under trading suspension due to the Company has no measures to overcome the cause that led to the company's shares being placed in trading restriction according to the provisions of Point d, Clause 1, Article 46 of the Securities Law; the company is compulsorily delisted due to serious violations of information disclosure obligations and other cases where the Stock Exchange or the State Securities Commission deems it necessary to delist to protect the interests of investors as prescribed in Point o, Clause 1, Article 120 of Decree No. 155/2020/ND-CP dated December 31, 2020 of the Government detailing the implementation of a number of articles of the Law on Securities; in the case of stocks whose trading is suspended as prescribed in points e, d Clause 1 Article 35 of the Regulations attached to Decision No.23/QD-HDTV dated 18/04/2025 of the Vietnam Stock Exchange
- FLC shares are under continued trading restriction due to The Company is late in submitting the Audited semi-annual financial statements 2024 more than 45 days from the deadline for information disclosure as prescribed, The company did not hold an annual general meeting of shareholders in the last 02 fiscal years within the maximum period from the end of the fiscal year as prescribed in Clause 2, Article 139 of the Law on Enterprises; according to the provisions at Point b, h Section 1 Article 33 of the Regulations attached to Decision No. 23/QD-HDTV dated 18/04/2025 by the Vietnam Exchange. Trading restriction time: only Friday weekly until being removed from trading suspension.
