Viet Nam Securities Depository and Clearing Corporation (VSDC) would like to announce the record date of corporate action processing for the Securities registering institution as follows:

+ Planned quantity of issued shares: 6,000,000  shares
+ Issue price: 10,000 VND
+ Execution rate: 1:1 (shareholders are entitled to 1 right for 1 share that they own and to buy 1 new share for each right).
- Principle of rounding, handling fractional shares and unsubscribed shares:
+ Principle of handling fractional shares: there is not fractional shares due to execution rate of 1:1
+ Principle of handling unsubscribed shares: In case shares are not fully distributed due to existing shareholders refusing to buy, the Board of Directors (BOD) is authorized by the General Meeting in the followings:
v. The BOD has the right to offer shares that are not registered to purchase by shareholders and transferees to other entities with offering conditions no more favorable than those offered to existing shareholders to ensure issuance of all offered shares (including an offering price not lower than that offered to existing shareholders);
v. The offering to other entities mentioned above complies with cross-ownership regulations in Clause 2, Article 195 of Enterprise Law No. 59/2020/QH14 and other prevailing laws;
v. The remaining undistributed shares not fully distributed to existing shareholders will be restricted from transfer within 1 year from the date of closing the offering;
v. The handling of the remaining shares that have not been fully distributed to existing shareholders comply with the provisions of Article 42 of Decree No. 155/2020/ND-CP dated 31/12/2020 and ensure other conditions as prescribed in Clause 2, Article 195 of the Law on Enterprises and other relevant provisions of prevailing laws;
v. In case the deadline for distributing shares expires according to provisions of prevailing laws (including the extended period (if any)), if there are still undistributed shares, these shares will be canceled, except in the case where the offering is underwritten according to  provisions.
- Regulations on rights transfer:
+ Time period for right transfer: from 13/10/2025 to 31/10/2025.
+ Right is transferred once. The transferee is not allowed to transfer it to a third party. The transferor and transferee agree on the transfer price and payment for transfer of rights.
+ Right is allowed to be divided into small parts for transfer to various different investors according to the agreement between the two parties.
+ The transfer of rights foreign investors must ensure the ownership ratio of foreign investors according to the provisions of Article 77 of the Securities Law No. 54/2019/QH14.
- Regulations on subscription:
+ Time period for subscription and payment: from 13/10/2025 to 03/11/2025.
+ Subscribed shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at the BOD office of BV Life Joint Stock Company, Level 4, Rivera Park building, no.69 Vu Trong Phung road, Thanh Xuan ward, Hanoi, tel  (84-24) 6251 1300; Fax: (84-24) 6251 1302, Monday ~ Friday (9 am-11:30 am, 2pm-4:30 pm)
