           v Shares not entitled to right transfer by shareholders and authorized persons: the Board of Directors is allowed to offer to other investors on condition that the offering is not more favorable than the one applicable to outstanding shareholders (including the offered price that is not lower than that for outstanding shareholders);
          v The offering to other investors as mentioned above is subject to Section 2 Article 195 of the Law on Enterprises No. 59/2020/QH14 and other relevant laws;
          v Undistributed shares offered to other investors are subject to 1-year transfer restriction from the date of completion of the offering;
         The handling of undistributed and unsold shares is subject to Article 42 of Decree No. 155/2020/ND-CP dated 31/12/2020 and other terms and conditions under Section 2 Article 195 of the Law on Enterprises and other applicable laws;
        Upon the expiry date of the distribution of unsold shares under applicable laws (including the extension period, if any), if undistributed and unsold shares still arise, the shares are to be disposed of unless these shares are underwritten as per regulations.

          - Times for transfer of share purchase rights: Buy right is transferable only once. Tranferee is not allowed to transfer again to a third party. Both the transferor and transferee negotiate their own transfer price. The buy right is allowed for divides for a number of investors under mutual consensus. 
   The right transfer to foreign investors is subject to the maximum foreign ownership rate under Article 77 of the Law on Securities No. 54/2019/QH14.
