AMD: Cancellation of Securities Registration

The cancellation of securities registration at VSDC shall not affect the lawful rights and interests of securities holders. FLC STONE Mining And Investment Joint Stock Company shall be responsible for managing information on the securities and their holders after the securities have been deregistered at VSDC, continuing to ensure the exercise of the lawful rights and interests of securities holders (if any) in accordance with prevailing laws, and re-issuing the Share Ownership Certificates/passbooks to holders of deposited securities based on the List of Securities Holders provided by VSDC to FLC STONE Mining And Investment Joint Stock Company after the effective date of deregistration.
2. FLC STONE Mining And Investment Joint Stock Company and the parties involved in the process of preparing the dossier, documents of securities deregistration are fully responsible before the law for the legality, accuracy, truthfulness and completeness of the dossier; Institutions and individuals participating in the confirmation of records and documents shall be legally responsible within the scope related to such records and documents as prescribed in Clause 1, Article 11a of the Securities Law No. 54/2019/QH14 dated 26/11/2019, supplemented by Clause 4, Article 1 of Law No. 56/2024/QH15 dated 29/11/2024.
3. Depository Members (DMs) will coordinate in implementing the above-mentioned securities deregistration, specifically:
3.1 From 27/02/2026, VSDC will not implement depository, withdrawal, and securities ownership transfer services for the above-mentioned securities. DMs are requested to notify investors of this information.
3.2 On 02/03/2026, VSDC will finalize the List of Securities Holders for deregistration. On 03/03/2026, VSDC will send to DMs MT596 business message together with a data file containing the list of deposited securities holders, and an MT598 business message requesting DMs to confirm the list of deposited securities holders. DMs are requested to reconcile the securities holder information in the list provided by VSDC with the information they manage and send confirmation via MT595 business message. In case of non-acceptance due to data errors or discrepancies, DMs are requested to send VSDC the details of errors or discrepancies in writing for necessary correction.
The deadline for sending confirmation is no later than 10:30 a.m. on 04/03/2026.
If a DM sends confirmation later than the stipulated deadline, VSDC will deem the list provided to the DM as accurate and confirmed by the DM, and will proceed to transfer the List of Securities Holders to the Securities Registering institution. In the event of disputes or damages caused to securities holders, the DM will bear full responsibility for any such disputes or damages.
3.3 From 06/03/2026, the securities code and ISIN assigned by VSDC for the above-mentioned securities will cease to be valid, and VSDC will no longer provide registration, depository, or clearing and settlement services for these shares. On 06/03/20206, VSDC will send an MT596 business message along with a data file notifying the accounting of securities to the relevant DMs. DMs are requested to process the withdrawal accounting of deposited securities in the investors’ accounts on the effective date of deregistration and to notify the relevant investors to contact FLC STONE Mining And Investment Joint Stock Company to complete procedures for the issuance of the passbooks/Share Ownership Certificates.
