The Board resolution dated January 31, 2023, the Board of Directors of Victory Capital Joint Stock Company approved the following contents: Approved the plan for share private placement: - Stock name: Victory Capital Joint Stock Company - Stock type: common share - Stock code: PTL - Charter capital before the issuance: VND1,000,000,000,000 - Stock volume before the issuance: 100,000,000 shares - Number of outstanding shares: 98,865,080 shares - Par value: VND10,000/share - Additional issuance volume: 100,000,000 shares - Total value of issuance (at par value): VND1,000,000,000,000 - Offering price: VND10,000/share - Transfer restriction: + For strategic investors: 03 years from the ending of the offering + For professional securities investors: 01 year from the ending of the offering. - Expected issue time: Quarter 1/2023, after being approved by the State Securities Commission of Vietnam (SSC). - Charter capital after the issuance: VND2,000,000,000,000 Approved the plan for using the proceeds from the offering: The proceeds from the offering will be used to contribute capital in subsidiaries and to supplement working capital for the Company’s production and business activities. Approved the dossiers of registration for share private placement in 2022.
