VGI: 2023 Annual General Meeting

Vietnam Securities Depository (VSD) would like to announce the record date as follows:

- Execution rate: 1 share - 1 voting right
- Planned meeting time:  half day on 27th April 2023
- Planned meeting venue: Viettel Academy - Hamlet 6, Thach Hoa Commune, Thach That District, Hanoi
Any change in the meeting time and venue will be announced later in the invitation letter sent to all Shareholders, uploaded on the Company's Website and mass media as stipulated by the applicable Law.
- Meeting agenda:
+ Reports by the Board of Directors (BOD), Supervisory Board (SB) on 2022 and 2018-2023 term
+ Report on 2022 production & business results and 2023 business plan;
+ 2022 audited financial statements; report on charter capital usage
+ 2022 profit distribution
+ Proposal for 2022 remuneration for the BOD, SB
+ Proposal for electing BOD, SB for 2023-2028 term
+ Proposal for trading with stakeholders
+ Proposal for approving extension of lending contract between the Company and Telecom International Myanmar Company Limited
+ Other arising issues of the Company and shareholders who are eligible to make proposals in accordance with the prevailing laws and the Charter.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 29th March 2023
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
