VRC: 2023 Annual General Meeting

Vietnam Securities Depository (VSD) - Ho Chi Minh Branch would like to announce the record date as follows:

- Execution rate:  1:1 (1 share - 1 voting right)
- Execution time:  29th June 2023 tentatively
- Execution place: to be announced in invitation letters
- Tentative agenda: 
+ Report by the Management Board on 2022 business results and 2023 plan;
+ Report by the Board of Directors (BOD) on 2022 activities and 2023 plan;
+ 2022 Report by the independent BOD member
+ Proposal for approval of 2022 audited financial statements;
+ Proposal for apporval of 2022 profit allocation and remuneration payment for the BOD;
+ Proposal for approval of 2023 business, profit allocation and remuneration payment plan for the BOD;
+ Proposal for authorizing the BOD to select an auditing company in 2023;
+ Proposal for changing business lines;
+ Other issues within the authority of the General Meeting (if any).
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 31st May 2023
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
