- Execution rate: 1:1 (shareholders are entitled to 1 right for each share that they own and to buy 1 new share for each right).
- Principle of rounding, handling fractional shares and unsubscribed shares:
*Principle of handling fractional shares: due to the execution rate of 1:1, there is no fractional share.
*Principle of handling shares that existing shareholders do not subscribe: handling unsubscribed shares has to comply with provisions in Article 42, Decree no.155/2020/NĐ-CP dated 31st December 2020 and regulation on capital contribution to parent company, subsidiaries as stipulated in Clause 2 Article 195 of 2020 Enterprise Law.
The number of undistributed shares due to shareholders' refusal (if any) will be authorized to the Board of Directors (BOD) to decide parties, criteria, distribution method, offer price (over or equal 28,000 VND/share) and those shares are subject to transfer restriction within 1 year from the date of offering completion. In case 2 major shareholders selected by the BOD buying undistributed shares leading to their ownership exceeding ownership rate as stipulated in points a, b clause 1 Article 35 of Securities Law, they do not have to make tender offer:

- In case of expiration of distribution of shares as prescribed by law (including extension if any), if there are still undistributed shares, these undistributed shares will be canceled and BOD made a decision to close the offering. The BOD considers to decide and adjust capital usage plan to ensure not affect capital and business.
Example: on record date, shareholder Nguyen Van A who owns 700 shares is entitled to 700 shares ((700:1) x 1 = 700).

+ Time period for right transfer: from 11th August 2023 to 7th September 2023
+ Purchase right can be transferred once only.
- Regulations on subscribed shares:
+ Time period for subscription and payment: from 11th August 2023 to 11th September 2023
+ Subscribed shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Binh Long Rubber Industrial Park Corporation, quarter 3A, Minh Hung ward, Chon Thanh town, Binh Phuoc province). ID cards have to presented.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10:30 pm, 7th August 2023.
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
